Master Services Agreement & Terms of Service

Terms of Service

Effective Date: August 29, 2026

The short version: we help you build a budget and pay off debt. This agreement explains the details, and it applies whether you use our free tools or a paid service.

This agreement applies to every service, free or paid, at every service tier.

This Master Services Agreement and Terms of Service (the “Agreement”) is between 1st Shift Finance (“1st Shift Finance,” “we,” “us,” or “our”) and the person or entity using our website, tools, or services (“Customer,” “you,” or “your”). It describes the terms that apply when you access or use our services.

1. Services

1st Shift Finance provides financial education, budgeting support, debt payoff planning, accountability, and related tools and services (collectively, the “Services”). The Services may include free resources, calculators, consultations, coaching, plans, check-ins, digital content, and other services we make available from time to time.

We will describe the Services included in any paid service, along with the applicable service tier, price, and billing frequency, before you purchase. We may use employees, contractors, or service providers to deliver the Services.

2. Scope of This Agreement

This Agreement applies to your use of every Service we provide, whether the Service is free or paid and regardless of the service tier, price, or payment amount. It applies to Services provided through our website, by email, by phone, through video or other communication tools, or through a third-party platform.

Additional terms may apply to a specific Service, purchase, promotion, or third-party platform. If additional terms conflict with this Agreement, the additional terms control only for that specific Service or transaction.

3. Customer Account and Eligibility

You must be at least 18 years old and able to enter into a legally binding agreement to use the Services. By using the Services, you represent that you meet these requirements.

You are responsible for providing accurate, current, and complete information and for keeping your account information up to date. Keep your login credentials confidential and notify us promptly if you believe your account has been accessed or used without permission. You are responsible for activity that occurs through your account.

4. Customer Responsibilities

You are responsible for making your own financial decisions and for the accuracy of information you provide. To get the most from the Services, you agree to participate honestly, review information carefully, complete agreed-upon tasks, attend scheduled sessions, and communicate when your circumstances or goals change.

You may not use the Services to violate any law or regulation, interfere with the Services or another person’s use of them, attempt to gain unauthorized access, misrepresent your identity, upload malicious code, or copy, resell, or exploit the Services except as expressly allowed by us in writing.

5. No Guarantee of Results

Financial progress depends on your circumstances, choices, creditors, income, expenses, interest rates, and other factors outside our control. We do not promise or guarantee that you will eliminate debt, improve your credit, increase your savings, reach a particular financial outcome, or achieve a particular result by a specific date.

Any examples, estimates, timelines, projections, or stories we share are for illustration and education only. Your results may be different.

6. Important Disclaimers

The Services are for general educational and informational purposes. They are not legal, tax, accounting, investment, lending, insurance, or individualized financial advice, and 1st Shift Finance is not a law firm, accounting firm, investment adviser, lender, creditor, credit repair organization, debt settlement company, or credit counseling agency unless expressly stated otherwise in writing.

We do not make decisions for you or act as your agent with creditors, lenders, credit bureaus, or other financial institutions. Consult a qualified professional who understands your situation before making a decision with legal, tax, investment, or other significant consequences.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

7. Fees and Payment Terms

You agree to pay the fees shown at the time of purchase or otherwise agreed to in writing. Unless stated otherwise, fees are charged in advance according to the billing frequency you select. You authorize us or our payment processor to charge your selected payment method for the fees due.

Fees are non-refundable except where required by law or expressly stated in writing. You are responsible for applicable taxes, bank fees, and payment-processing fees. If a payment is declined, reversed, or overdue, we may pause or terminate the applicable Service and may charge reasonable costs permitted by law.

You may cancel a recurring Service by following the cancellation instructions provided for that Service or by contacting info@1080titan.com. Cancellation will take effect at the end of the current paid billing period unless we state otherwise. Cancellation does not eliminate fees already incurred.

8. Confidentiality and Financial Information

We will use reasonable care to protect non-public information you share with us in connection with the Services. We may use that information to provide, maintain, improve, and administer the Services, communicate with you, process payments, prevent fraud, comply with law, and as otherwise described in our Privacy Policy.

You understand that email, video calls, online forms, and third-party platforms may not be completely secure. Do not send account passwords, full payment-card numbers, Social Security numbers, or other highly sensitive information unless we specifically request it through a secure method.

9. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge that you have read and understood the Privacy Policy. The Privacy Policy is part of this Agreement.

10. Intellectual Property

We and our licensors own all rights in and to the Services, including our website, branding, methods, text, graphics, videos, templates, worksheets, software, and other content, except for content you provide or third-party content. Subject to this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use materials we provide solely for your own personal, non-commercial use.

You may not reproduce, distribute, publicly display, modify, create derivative works from, sell, license, or commercially exploit our content without our prior written permission. You retain ownership of information and materials you submit, and you grant us the rights reasonably necessary to provide the Services.

11. Third-Party Platforms and Services

The Services may link to or rely on third-party websites, applications, payment processors, communication tools, scheduling tools, or other services. Those services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services, content, security, availability, or practices.

You are responsible for reviewing the terms that apply to any third-party service you choose to use. A link or integration does not mean we endorse the third party or guarantee its services.

12. Service Availability and Changes

We work to keep the Services useful and available, but we do not guarantee uninterrupted, timely, secure, or error-free access. The Services may be unavailable because of maintenance, updates, outages, events outside our control, or problems with a third-party provider.

We may modify, suspend, or discontinue all or part of the Services, including a feature or service tier, at any time. If we make a material change to a paid Service, we will provide notice when reasonably practicable. We are not liable for a modification, suspension, or discontinuation permitted by this section.

13. Term and Termination

This Agreement begins when you first access or use the Services and continues until terminated. A paid Service continues for the term shown at purchase, subject to cancellation under Section 7.

We may suspend or terminate your access if you breach this Agreement, fail to pay amounts due, misuse the Services, create risk for us or others, or if we are required to do so by law. You may stop using the Services at any time. On termination, your right to use the Services ends, and provisions that by their nature should survive termination will remain in effect.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless 1st Shift Finance and its owners, officers, employees, contractors, agents, and licensors from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Services, your breach of this Agreement, your violation of law or another person’s rights, or information and materials you submit through the Services.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, 1ST SHIFT FINANCE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SAVINGS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above limitations may not apply to you. Nothing in this Agreement limits liability that cannot legally be limited.

16. Dispute Resolution

16.1 Informal Resolution

Before starting a formal proceeding, you and 1st Shift Finance agree to try in good faith to resolve any dispute, claim, or controversy arising out of or relating to the Services or this Agreement. The party raising a dispute will provide written notice describing the issue and the requested resolution. The parties will have 30 days after notice is received to attempt to resolve the dispute.

16.2 Governing Law

This Agreement and any dispute arising out of or relating to it will be governed by the laws of the State of Florida, without regard to its conflict-of-law rules.

16.3 Venue

Unless applicable law requires otherwise, any court proceeding arising out of or relating to this Agreement or the Services must be brought in the state or federal courts located in Florida, and you and 1st Shift Finance consent to their jurisdiction and venue.

17. Changes to This Agreement

We may update this Agreement from time to time. We will post the updated version and change the Effective Date above. If a change is material, we will provide additional notice when reasonably practicable. Your continued use of the Services after the updated Agreement becomes effective means you accept the changes.

18. Notices

We may provide notices to you through the Services, by email to the address associated with your account, or by posting on our website. You are responsible for keeping your contact information current. Notices to us must be sent through the contact method we provide for the relevant Service or to info@1080titan.com when the notice concerns billing or cancellation.

19. General Terms

This Agreement, together with any terms expressly incorporated into it, is the entire agreement between you and 1st Shift Finance about the Services and supersedes prior or contemporaneous agreements about the same subject. If a provision is found unenforceable, it will be modified to the minimum extent needed, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer this Agreement or your rights under it without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets. The parties are independent contractors, and this Agreement does not create a partnership, joint venture, agency, or employment relationship.

20. Acceptance and Agreement

By accessing or using the Services, creating an account, submitting an order, or clicking an acceptance button, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Services.

If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to this Agreement. The entity is the Customer for purposes of this Agreement.
